Section 172 Statement

Section 172 statement

In accordance with Section 172 of the Companies Act 2006, the directors have considered the interests of MT Finance Group Limited. In discharging their duties under Section 172, the directors have considered the group’s purpose and regulatory standards, ensuring that the decisions made are consistent with and intended to promote the long-term success of the group.

During the year ended 30 June 2026, the directors have acted in a way that they considered, in good faith, to be most likely to promote the success of the group for the benefit of its stakeholders as a whole. In doing so, they had regard, amongst other matters, to:

  • the likely consequences of any decision in the long term;
  • the interests of the group’s employees;
  • the need to foster the group’s business relationships with suppliers, customers, funders, regulators and others;
  • the impact of the group’s operations on the community and the environment;
  • the desirability of the group maintaining a reputation for high standards of business conduct; and
  • the need to act fairly as between members of the group.

Balancing stakeholder interests

The directors balance the short-term opportunity to grow lending volumes against the long-term importance of sound credit risk management, affordability and good customer outcomes. Similarly, the directors balance the obligations owed to funding providers with the fair treatment of customers, including those experiencing financial difficulty. Decisions on the distribution or retention of profits are considered alongside the group’s capital and liquidity requirements, its funding commitments and its plans for future growth. Where any conflicts arise, the directors consider the likely consequences for each stakeholder group and seek to reach decisions that they consider will best promote the long-term success of the group, while ensuring compliance with regulatory requirements, including the Consumer Duty.

Employees

The directors recognise that the knowledge, experience and commitment of employees are critical to the continued success of the group. The group seeks to attract, develop and retain talented individuals through fair remuneration, professional development opportunities and a supportive working environment that promotes employee wellbeing. The directors consider employee engagement and retention when making short and long-term decisions affecting the business.

Customers

The directors recognise that delivering fair customer outcomes is fundamental to the group’s long-term success and reputation. Through regular reporting and oversight of customer performance metrics, complaints, conduct indicators and service standards, the directors monitor the effectiveness of the group’s arrangements and seek to ensure that customers are treated fairly throughout the customer lifecycle.

Funders

The group relies on funding providers to support its lending activities and growth objectives. The directors recognise the importance of maintaining transparent, constructive and long-term relationships with funding partners through regular communication, timely reporting and compliance with funding agreements. Maintaining the confidence of funding providers supports the group’s ability to continue serving customers and pursuing its strategic objectives.

Suppliers

The group uses a number of suppliers to provide the services, necessary for the effective running of its operations. Suppliers are selected on the basis of their capability, reliability and value.

Regulator

The directors believe that the long-term sustainable success of the business is supported by meeting regulatory requirements and maintaining an open and cooperative relationship with the Financial Conduct Authority, helping to strengthen the group’s governance, conduct and accountability. The directors have regard to the requirements of the FCA’s Consumer Duty and regularly review customer outcome reporting to help ensure customers receive fair value, are treated fairly and achieve good outcomes when interacting with the group and its products. The directors are committed to ensuring that all regulatory reporting requirements are met in full and in a timely manner.

Environment

Given the nature of its activities, the group’s direct impact on the environment is limited. The directors nevertheless recognise the importance of the group’s environmental responsibilities and seek to minimise its impact where possible, including by reducing waste and making efficient use of resources.
